2.1 Scope of Services

HOTA Digital provides digital solutions, including website development, e-commerce integration, payment gateway setup, SEO, branding, and technical support. Each service is delivered according to the scope, timeline, and payment terms outlined in the applicable project proposal or contract.

2.2 Client Responsibilities

Clients are responsible for:

  • Providing accurate and timely information required to complete the services.

  • Responding to requests for feedback, approval, or project materials within a reasonable timeframe.

  • Ensuring that all supplied content, including text, images, logos, and other materials, is legally owned or appropriately licensed.

  • Reviewing and approving project deliverables at the agreed stages.


3. Pricing & Payments

3.1 Pricing

All service prices are outlined in the applicable proposal or contract. Prices for future projects may change without prior notice. Taxes, where applicable, will be included in the final invoice.

3.2 Payment Terms

  • A 50% deposit is required before work begins unless otherwise stated in the applicable proposal or contract.

  • The remaining balance is due upon project completion or according to the payment schedule specified in the contract.

  • Payments may be made using the payment methods displayed on our website or invoice.

3.3 Late Payments

Failure to make payment by the due date may result in project delays or suspension of services. A late fee may apply to overdue balances when specified in the applicable proposal, invoice, or contract.


4. Intellectual Property

4.1 Ownership

  • Websites and Designs: Ownership of final approved deliverables will transfer to the client after full payment has been received.

  • Pre-Made Content: Pre-designed assets, templates, frameworks, tools, and reusable components remain the property of HOTA Digital unless otherwise stated in writing.

  • We do not sell, host, or distribute unauthorized third-party copyrighted content. All deliverables will be original, properly licensed, or supplied by the client.

4.2 Use of Completed Work

Clients grant HOTA Digital a non-exclusive right to display completed projects for promotional purposes, including portfolios, presentations, social media, and case studies, unless otherwise agreed in writing.


5. Refund & Cancellation Policy

5.1 Refund Policy

  • Refunds may be available for cancellations made before work begins, subject to the terms of the applicable proposal or contract.

  • Refunds will not be provided for services or project stages that have already been completed.

  • If a project has been partially completed, any approved refund will be calculated after deducting the value of work already performed and any non-refundable expenses.

5.2 Cancellation Policy

Clients may request to cancel a project by providing written notice. Cancellation fees may apply depending on the amount of work completed, resources committed, and third-party expenses incurred before cancellation.


6. Liability

6.1 Limitation of Liability

To the fullest extent permitted by applicable law, HOTA Digital will not be liable for:

  • Losses or delays caused by client inaction, delayed responses, inaccurate information, or failure to provide required materials.

  • Problems arising from third-party services or platforms, including hosting providers, payment processors, plugins, software providers, and advertising platforms.

  • Indirect, incidental, special, or consequential damages, including loss of revenue, profits, business opportunities, or data.

6.2 Warranties

Services are provided on an “as is” and “as available” basis. Except where expressly stated in writing, HOTA Digital makes no express or implied warranties regarding specific business, advertising, search ranking, sales, or financial results.


7. Confidentiality

7.1 Protection of Information

We will take reasonable steps to protect confidential information shared by the client. Confidential information may include proprietary business information, project details, credentials, customer data, and other non-public materials.

7.2 Non-Disclosure Agreement

A separate Non-Disclosure Agreement may be signed upon request when additional confidentiality protections are required.


8. Termination

8.1 Grounds for Termination

We reserve the right to suspend or terminate services in the event of:

  • A material breach of these terms by the client.

  • Failure to make payments as agreed.

  • Misuse of our services for unlawful, fraudulent, abusive, or unethical purposes.

  • Conduct that creates security, legal, financial, or reputational risks for HOTA Digital.

8.2 Effect of Termination

Upon termination, access to applicable services may cease. Any unpaid balances for work completed, services delivered, or expenses incurred before termination will remain due.


9. Governing Law

These Terms and Conditions will be governed by and interpreted according to the laws of the applicable jurisdiction within the United States, without regard to conflict-of-law principles. Any dispute will be resolved in a court with proper jurisdiction unless otherwise agreed in writing.
